Edward Miller

CHAIRMAN, AND SPECIAL ADVISOR

Edward Miller is a business leader, entrepreneur, and inventor with international construction experience and 20 years of Distributed Generation implementation. Mr. Miller has earned the reputation as one of the most experienced developers and operators in the Combined Heat and Power (CHP) and Combined Cooling Heat and Power (CCHP) markets, both domestically and abroad.

Early Career: A third generation New York Steam Fitter (Local Union 638), Edward Miller grew up in the NYC mechanical construction industry, first working for Raisler and Centrifugal Mechanical as a Plan Clerk and Estimator in high school. After graduating High School early, he became a Union Steam Fitter and worked for several years converting Building Management Systems (BMS) from Analog to Fully Direct Digital Controls (DDC). In 1990, he enlisted in the U.S. Navy and graduating first in his class from the U.S. Naval Intelligence Training Center. Upon graduation Edward served as an Intelligence Specialist and was assigned to The Intelligence Service Activity (ISA). He excelled as a deployed Intelligence Operator reporting directly to the DIA, JSOC, and the Navy Special Warfare Commands. He is a veteran of Desert Storm, receiving an honorable discharge. After discharge, Edward re-entered the mechanical construction industry with Centrifugal Associates (subsidiary of Dualstar Technologies), where he was directly responsible for the relationships with two of the largest developers in NYC.

Entrepreneurship: In 1997, Mr. Miller established The Miller Group, a prominent firm specializing in mechanical, electrical, and plumbing construction. Under his leadership, the company expanded to achieve revenues exceeding $155 million, supported by six subsidiary operations and a workforce comprising 55 office staff and 1,500 field personnel. The companies excelled in both public and private work, building a core reputation in the LEED project, and Data Center markets. In 2006, The Miller Group partnership exited the turnkey construction space (due to warning signs of the looming credit crisis). Edward acquired the Energy division from his partners to build a Distributed Generation company with long-term recurring revenue.

International Construction Experience: From 2006 to 2008, Mr. Miller was retained to represent St Paul – Travelers Surety (the largest Surety underwriters in the world) as their International MEP Default Consultant. Edwards team was tasked to assess impaired contracts, create a comprehensive program to get the projects completed quickly while limiting cost overruns for some of the largest LEED projects around the world. For perspective, the average liquidated damages of the projects assessed by Edward and his team exceeded $250,000 per day.

Energy Experience: From 2008 to 2012, Mr. Miller was recruited and hired as Executive Vice President of Operations of American DG Energy Inc. (AMEX: ADGE) under the founders of Thermo Fisher and Thermo Electron (George and John Hatsopoulos). During his tenure at ADGE he completely revolutionized the process by which CHP projects were profiled, installed, operated and maintained. Over the course of 4 years with ADGE, he designed, installed, and/or operated more than 140 CHP plants. Edward worked very closely with the Utilities (including ConEd, PSE&G, National Grid and Eversource) in key markets to re-write interconnect protocols, bringing Inverter based Cogeneration into the 21st century. Under Mr. Miller’s leadership ADGE stock rallied from a pink sheet stock to having a $550mm market cap in under 18 months.

Recent Projects: In 2013, Mr. Miller formed EM-Power Holdings, with a single mission – take the concept (and model) developed at American DG and The Miller Group Energy and make it scalable. Through heavy personal investment, he and his team embarked on a comprehensive underwriting campaign to develop a watershed Performance Guarantee Insurance Policy (papered by Lloyds of London). This insurance is both client facing and can also be used to backstop investment capital. Edward and his team then developed a proprietary offtake contract (a hybrid Shared Savings / Power Purchase agreement) with Sullivan Cromwell PLLC and Black and Veatch. From 2015 thru 2022 Edward and his team formed strategic partnerships with many complimentary technologies including storage (electric, mechanical and thermal systems) and Carbon reduction technologies. Since Q3 of 2022 Edward has served as an acting CEO and Special Advisor to Freedom Power, a Veteran owned and operated company. Together they have built an impressive $500mm pipeline of projects across all verticals and have designed, developed and/or operated over 75 projects throughout the USA, Caribbean and South America.

Inventor: Mr. Miller has developed multiple technologies over the last 30 years (with Patents or Provisional Patents issued) including a proprietary project profiling and asset management software program that sizes and operates plants to yield the highest economic benefit possible (with accuracy +/-2.5%). Miller Data Power, a modular inverter-based Data Center solution, EDPAC (Emergency Deployable Power and Air Conditioning) that is utilized for disaster recovery or forward deployed Military operations. Grow Power, A Tri-Gen solution designed to meet the growing needs of commercial produce or cannabis cultivation (which includes a carbon capture technology). OmniGen, A Tri-Gen system that can produce up to 85% thermal energy or 80% Electrical energy creating a system that can be utilized in much broader applications than traditional Co-Gen. As well as EV Power, a micro combined cycle solution for Electric Vehicle charging when utility power is not available.

Advisor: Mr. Miller has served as an advisor to MIT (Building Technologies dept). Harvard University (Kennedy School), Stevens Institute, and many other academic institutions. He has served as an Advisory Board Member and/or Special Advisor to companies in the Micro Reactor, Carbon Capture and Energy Storage markets. Most recently, has taken an interest in advanced Magnetics and their potential contribution to the future of energy. Organizationally, he formally served on the NYSERDA Cogen committee and worked on two classified projects with Arpa-E.

Memberships and affiliations: Edward Miller was one of the first LEED certified professionals and holds his Certified Energy Professional (CEP), Certified Energy Manager (CEM), Certified Sustainable Development Professional (CSDP), and Project Management Professional (PMP) credentials. Edward has been a Mensa member since 1999 and was elected to the Mensa Education and Research Foundation (offered only to the top .01% of Mensa members).

Hobbies and Family: Edward is an avid outdoorsman and enjoys restoring cars and motorcycles. He resides in Westchester, NY with his wife Giovanna and two stepdaughters, Olivia and Ella.
